WITB LICENSE

At Whale in the Box ("WITB," "Licensor," "we," "our," or "us"), we bring our expertise in blockchain technology to forecasts' lovers (each, a "Whale," "Licensee," or "you"). Creating, running or settling decentralized predictions (each, a "Prediction") do not require intermediary bookmakers. You may deploy smart-contracts (together with its documentation, the "Code") we make available under this WITB Open Source License (the "License") for your self-operated Predictions (each, a "Box") in relation to your chosen event (an "Event").

For the avoidance of doubt, WITB takes no fees on Box creation or settlement, nor on Predictions. WITB does not take part in Predictions. WITB has no control or influence over the outcome of Events. Boxes are not operated by or under control of WITB and all Boxes are immutable once deployed by Licensee on the blockchain. WITB only makes open-source Code available to the public.

Code Summary

Any Whale may create a Box (the "Box Manager"). The Box Manager is fully and exclusively responsible for setting the Prediction rules, including without limitation for selecting the Event; the accepted token type ("Prediction Rules"); and/or running the Box. By using our Code, you acknowledge that you have an interest in gambling and that you understand how it works. As a Box Manager, you must notably make sure that the Prediction Rules are not incoherent or absurd. WITB does not, in any way, suggest or advise how to write or formulate Prediction Rules. The Box Manager is fully and exclusively responsible for mistakes in its Prediction Rules, including without limitation, logical mistakes.

Other Whales may be in favor of the Box Manager's Prediction ("Hunters") or against it ("Fishers"). Predictions must be submitted before a Box closes, which is 5 minutes before the corresponding Event starts. No changes or new Predictions may be made after the Box is closed.

The outcome of a relevant Event is used by an autonomous artificial intelligence (the "AI") to define the outcome of a Box (the "Outcome"). Because blockchain transactions are immutable and no one has control over the AI's actions, it is not possible to rectify a Box's Outcome once the AI has received notice of the corresponding Event's outcome. This means that subsequent rectifications to the outcome of an Event, including by the official organizers, will not alter the Outcome of a settled Box. This also means that any error included in the announcement of an outcome will result in an error in the corresponding Box's Outcome. The AI's source of information is publicly available and traceable on the blockchain.

Winners are entitled to their initial stake plus all the losers' stake, pro rata (the "Reward"), under the conditions described in the Code. No Prediction fees apply. Ensure to claim your Reward from the Box promptly after the Outcome is known. Only usual blockchain transaction fees apply to Reward distribution transactions. Anyone may verify all on-chain transactions and Outcomes.

If (i) an Event is canceled or delayed; or (ii) no Hunter takes part in a Box, the Box in question closes and refunds all participants of the amount of their stake (less blockchain transaction fees), under the conditions described in the Code.

We grant Licensee a worldwide, royalty-free, non-exclusive, sublicensable license, for the duration of the copyright, to do the following (i) to reproduce the Code in copies, either alone or as part of a collective work; (ii) to translate, adapt, alter, transform, modify, or arrange the Code, thereby creating derivative works ("Derivative Works") based upon the Code; (iii) to execute the Code on the blockchain; and (iv) to display the Code publicly. Note that you may use the Code in all ways not otherwise restricted or conditioned by this License or by applicable law.

Notwithstanding the foregoing, neither the names of Licensor, nor the names of any contributors to the Code, nor any of their trademarks or service marks, may be used to endorse or promote products derived from this Code without express prior permission of the Licensor. Except as expressly stated herein, nothing in this License grants any license to Licensor's trademarks, copyrights, patents, trade secrets or any other intellectual property. No license is granted to the trademarks of Licensor even if such marks are included in the Code. Nothing in this License will be interpreted to prohibit Licensor from licensing under terms different from this License any Code that Licensor otherwise would have a right to license.

You must retain, in the source code of any Derivative Works that you create, all copyright or trademark notices from the Code, as well as any notices of licensing and any descriptive text identified therein as an 'attribution notice'. The source code of any Derivative Works that you create will carry a prominent attribution notice to inform recipients that you have modified the Code.

Limitation of Liability

The Code is provided under this License on an "AS IS" basis and WITHOUT WARRANTY, either express or implied, including, without limitation, the warranties of non-infringement, merchantability or fitness for a particular purpose. The entire risk as to the quality of the Code is with you. This DISCLAIMER OF WARRANTY constitutes an essential part of this License. No license to the Code is granted by this License except under this disclaimer.

Under no circumstances and under no legal theory, whether in tort (including negligence), contract, or otherwise, will the Licensor be liable to anyone for any indirect, special, incidental, or consequential damages of any character arising as a result of this License or the use of the Code, including, without limitation, damages for loss of goodwill, work stoppage, computer failure or malfunction, any and all other commercial damages or losses or personal losses whatsoever. This limitation of liability will not apply to the extent applicable law prohibits such limitation.

By using our Code, you acknowledge that you are fully aware of the technical features and limitations of the Code and, more generally, the security issues implied by the use of blockchain technologies and cryptography. In particular, you understand that we do not own, operate or control software protocols (blockchains) with which our Code may interact.

Jurisdiction, Venue and Governing Law

Any dispute, claim, action or suit relating to this License may exclusively be brought before the courts of the jurisdiction wherein the Licensor resides, and under the laws of that same jurisdiction, excluding its conflict-of-law provisions. Any use of the Code outside the scope of this License or after its termination will be subject to the requirements and penalties of copyright in the appropriate jurisdiction. This section will survive the termination of this License.

Interpretation

The WITB License constitutes the entire agreement entered into in connection with the use of the Code and supersedes, where applicable, any prior agreement.

The fact that a party does not exercise her rights under the License does not in any way constitute a waiver or loss of such rights.

Should any provision of this License be held to be unenforceable, such provision will be reformed only to the extent necessary to make it enforceable.

BEST PRACTICES

Make sure to check that a Prediction is suited to your needs, your financial capabilities and that you understand the Prediction Rules set by the Box Manager. Pick a free game if you are unable to bear the risk of losing your stake. In any event, do not pay for Predictions if you've never used a Box before. Forecasting must remain an entertainment activity and you must not have any hope of winning.

Connect with a hot wallet dedicated to the use of Boxes. Never use your cold wallets or unsecure wallets. Secure your funds in segregated wallets.

Blockchain transactions are irreversible. Make sure to review all transaction details before approving a blockchain transaction.

Please be very careful when interacting with other Whales. Although we hope that the Whales community will develop a bond, there may be malicious individuals lurking among the Whales. In particular, never communicate your private keys, passkeys or other personal identifiers or information to other Whales.
